Terms & Conditions

These Terms and Conditions (“Terms”) govern all commercial relationships between Checkology and its business customers (“Customer”). By entering into a business engagement, requesting a quotation, receiving a product, or accessing any services provided by Checkology, the Customer agrees to be legally bound by these Terms unless otherwise agreed in writing.

 

1. Scope and Applicability

These Terms apply to the provision of all products, services, software, and cloud-based tools offered by Checkology. They apply in full unless explicitly modified by a separate written agreement signed by both parties.

No Customer terms, conditions, or purchase agreements shall apply unless expressly accepted in writing by Checkology.

 

2. Commercial Engagement

All commercial engagements, including but not limited to quotations, technical documentation, or service proposals, require written acceptance by Checkology to become binding.

Checkology reserves the right to decline a commercial engagement at its sole discretion and without obligation to provide justification.

 

3. Pricing and Payment

Prices provided by Checkology are exclusive of VAT, duties, and delivery costs unless otherwise stated. All amounts are payable in the currency specified in the invoice.

Unless otherwise agreed in writing, invoices are due within thirty (30) calendar days from the invoice date. In the event of late payment, Checkology reserves the right to charge interest at the maximum rate permitted by applicable law and to suspend ongoing obligations.

 

4. Delivery and Transfer of Risk

Delivery timelines provided by Checkology are estimates only and are not binding unless expressly confirmed in writing.

Risk of loss or damage passes to the Customer upon delivery of the goods to the carrier or, where applicable, upon handover at Checkology’s premises.

Ownership of physical products remains with Checkology until full payment has been received.

 

5. Subscription-Based Services

Certain services, including access to the Checkology cloud platform, are provided on a subscription basis.

Unless otherwise agreed, subscriptions renew automatically for successive one-year terms. Either party may terminate a subscription with sixty (60) days’ written notice prior to the end of the current term.

Checkology may adjust pricing or terms of subscription services with prior written notice, provided that such changes do not materially degrade the functionality of the service.

 

6. Product Warranty

Checkology warrants that its hardware products are free from defects in materials and workmanship under normal use for a period of twenty-four (24) months from the date of delivery.

This warranty does not apply to:

  • Misuse, improper installation, or unauthorized modifications;
  • Normal wear and tear or cosmetic damage;
  • Failures caused by conditions outside of documented operating parameters.

Checkology’s sole liability under this warranty is to repair or replace, at its discretion, any defective product.

 

7. Returns and Repairs

No returns are accepted without prior written authorization. Returned products must be in original or equivalent packaging and shipped at the Customer’s expense unless otherwise agreed.

Products returned for repair under warranty must be accompanied by a detailed fault description. For out-of-warranty repairs, Checkology will provide a cost estimate prior to proceeding.

 

8. Intellectual Property

All intellectual property rights relating to Checkology’s products, software, cloud platforms, and related materials remain the exclusive property of Checkology or its licensors.

The Customer shall not modify, reverse-engineer, sublicense, or reproduce any part of the products or services except where expressly permitted.

 

9. Confidentiality

Both parties shall treat as confidential all technical, commercial, and operational information exchanged in the course of the business relationship. Such information may not be disclosed to third parties without prior written consent, unless required by law.

This obligation continues for five (5) years after the end of the commercial relationship.

 

10. Data Handling and Privacy

Checkology may process technical data and contact details for the purpose of providing services and support. Where required, a separate data processing agreement (DPA) will be provided for engagements involving personal data.

Checkology implements appropriate technical and organizational measures to safeguard all processed data in accordance with applicable laws.

 

11. Limitation of Liability

Checkology shall not be liable for indirect, incidental, or consequential damages, including loss of profit, production downtime, or reputational harm.

Checkology’s aggregate liability for any claim shall not exceed the total fees paid by the Customer for the product or service giving rise to the claim.

This limitation does not apply to liability that may not legally be excluded under applicable law.

 

12. Force Majeure

Checkology shall not be liable for failure to fulfill its obligations where such failure results from causes beyond its reasonable control, including but not limited to acts of God, labor disputes, shortages of materials, pandemics, or legal restrictions.

 

13. Termination

Either party may terminate any agreement or subscription with immediate effect in the event of a material breach that remains uncured for thirty (30) days following written notice.

Upon termination, the Customer’s access to Checkology’s services and platforms shall cease, and Checkology may delete Customer data within ninety (90) days unless otherwise agreed.

 

14. Compliance and Export Control

The Customer agrees to comply with all applicable export control laws and regulations and not to transfer Checkology products to any restricted destination or entity without appropriate authorization.

 

15. Governing Law and Jurisdiction

These Terms and all related agreements shall be governed by the laws of the European Union, supplemented by the national law of the country where Checkology is legally established.

All disputes shall be submitted to the exclusive jurisdiction of the competent courts in that country.

 

16. Amendments

Checkology may update these Terms at any time. The most recent version will be made available on the official website and shall take effect upon publication unless otherwise required by law.
